What is the Technical Secretariat of the Board of Directors?
Background
When the commercial enterprise denominated Banco Nacional de Comercio Exterior (Bancomext) established itself as a public limited company, its functioning adhered to stipulations in the General Law on Commercial Enterprises, and thus its General Shareholders’ Assembly, and also its Board of Administration, had a Secretary and an Alternate Secretary.
Over time, with the enactment of the first Regulatory Law on Public Banking and Credit Service (Ley Reglamentaria del Servicio Público de Banca y Crédito), published in the Official Gazette (Diario Oficial de la Federación) on December 31, 1982, Bancomext became, through a decree issued by the Federal Executive Branch, a National Credit Entity, changing the name of its Governing Body from a Board of Administration to a Board of Directors, with a Secretary and Alternate Secretary continuing to exist for the purpose of attending to the functioning of this collegiate body, thereby creating a Technical Secretariat.
A year later, Mexico’s National Congress enacted the Organic Law of Banco Nacional de Comercio Exterior, which was published in the Official Gazette (Diario Oficial de la Federación) on January 20, 1986, and which continues in effect. On July 24, 1986 the Secretariat of Finance and Public Credit issued the first Organic Regulations for Banco Nacional de Comercio Exterior, as a National Credit Entity and Development Bank Institution, which was in effect until April 2, 1991.
The second Organic Regulations of Banco Nacional de Comercio Exterior, National Credit Entity, Development Bank Institution, was published on April 2, 1991 in the Official Gazette, entering into effect on April 3, 1991, and it continues to govern the Institution. Both regulatory instruments anticipated, in their Article 19, the guidelines for designating the Secretary and Alternate Secretary for the Board of Directors, authorizing them to take minutes of each session and record them in the notebook established for this purpose. The minutes must be signed by the Secretary or Alternate Secretary, who will authorize making copies of such minutes, signing the respective citations and issuing the corresponding certifications.
Mission
Coordinate the functioning of the Institution’s Governing Body and its delegated committees, as well as the boards of administration for Bancomext’s subsidiaries, providing security and legal protection at all times.
Objectives and functions:
- Provide legal protection and security to the Institution’s Governing Body and its delegated committees, as well as the boards of administration corresponding to its subsidiaries, through legal control over corporate information and legal-administrative advisory services to the Bank’s departments.
- Oversee full compliance of decisions made in the various collegiate bodies.
- Facilitate compliance and implementation of the principles that govern the functioning of the various collegiate bodies.
- Implement an information system that is innovative and of high technological quality, for managing corporate information.
